Example of an accomplished mission
A large French firm seeking strategic advisory
Deal origination and advisory services for two large U.S. Private Equity firms to enable them to become the anchor shareholders of a Tier 1 subcontractor in the aerospace industry.
Zalis originated one of the main deals in the aerospace sector in 2015. Zalis has been covering this industry for years, with an in-depth knowledge of its key players.
Zalis identified a company with good fundamentals that was over-indebted and loss-making and had a highly diluted shareholder structure. In order to secure the future of the company, Zalis approached some investors with this opportunity. Two funds showed a strong interest. They jointly hired Zalis to conduct a confidential industrial and strategic survey before making their investment decision.
Zalis produced a comprehensive analysis of the company covering strategy, operations, financial performance and human resources. Zalis identified some of the root causes behind the company’s underperformance and analyzed the turnaround potential.
After the funds decided to go ahead, Zalis advised them throughout the whole process. In particular, Zalis advised the U.S. investors on their relationships with the French Authorities. Zalis also challenged the management turnaround plan, suggested organizational improvements and measures to prevent the loss of skills. Finally, through a Debt to Equity swap and New Money investment, the two funds became anchor investors.
